These Terms and Conditions ("Terms") govern your use of our websites at mastersonworkshop.com and our Etsy store at mastersonworkshop.etsy.com ("Website" and "Etsy Store", respectively), collectively referred to as "Sites", operated by Masterson Workshop LLC, a creative and dedicated company located in Philadelphia, Pennsylvania ("we", "us", "our"). By accessing or using our Sites, you agree to comply with and be bound by these Terms. These Terms apply to all visitors, users, and others who access or use our Sites. If you disagree with any part of these Terms, you must cease usage of our Sites immediately. Services Our Sites provide detailed information about the services and products offered by Masterson Workshop LLC, ranging from custom stamp creation to notary services and 3D printed products. By using our Sites, you affirm that you will engage with our services and make purchases in a lawful manner, strictly adhering to the Terms outlined here. Intellectual Property Rights The content on our Sites, including text, graphics, images, and the design, selection, and arrangement thereof, is the exclusive property of Masterson Workshop LLC or is used with appropriate authorization. It is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. No part of our Sites, including intellectual property, may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way without our express prior written consent. User Conduct You commit to using our Sites only for their intended purposes and agree not to use them in any way that: a. Violates any applicable federal, state, local, or international law or regulation. b. Infringes on the rights of others, including copyright, privacy, or public rights. c. Attempts to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Sites, the server on which our Sites are stored, or any server, computer, or database connected to our Sites. f. Otherwise attempts to interfere with the proper working of our Sites. User-Generated Content By submitting, posting, or displaying content on or through our Websites, including mastersonworkshop.com and the Etsy store mastersonworkshop.etsy.com, you grant Masterson Workshop LLC a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content, in whole or in part, and to incorporate it in other works in any form, media, or technology now known or later developed. This includes, without limitation, the right for Masterson Workshop LLC to use your content for promotional purposes, in customer communications, or in advertising. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish and share the submitted content; that the content is accurate; that use of the content you supply does not violate these Terms and will not cause injury to any person or entity; and that you will indemnify Masterson Workshop LLC for all claims resulting from content you supply. We reserve the right to remove any content you provide at any time if we believe it violates these Terms, our policies, or the law. However, we do not have an obligation to monitor user-generated content, and you agree that we are not liable for content that is provided by others. You acknowledge that Masterson Workshop LLC may choose to provide attribution of your comments or reviews (for example, listing your name and city on a review that you submit) at our discretion, and that such submissions may be shared with third parties in accordance with our Privacy Policy. Furthermore, you give Masterson Workshop LLC the right to share user-generated text and images necessary to fulfill an order or service requested by you. However, you may refuse the use of your user-generated content for other business purposes beyond fulfilling specific orders by providing written notice to legal@mastersonworkshop.com at the time of purchase or thereafter. User-Generated Content for Order Fulfillment When you place an order with Masterson Workshop LLC, especially for personalized or custom products, you may need to provide specific content such as text, images, or design preferences ("User-Generated Content") that we will use to fulfill your order. By providing this User-Generated Content, you grant Masterson Workshop LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, and adapt this content solely for the purpose of fulfilling your order and for displaying as examples of our previous work, unless otherwise specified by you. We respect your intellectual property rights and affirm that you retain ownership of the User-Generated Content you provide. You represent and warrant that you have the necessary rights to provide this content and allow us to use it as described above, and that the content does not infringe on the intellectual property rights, privacy rights, or other legal rights of any third party. Examples of completed orders may be displayed on our Website, in our Ecwid store, or on our Etsy store as part of our portfolio, or provided to third parties, except where you have expressly instructed us not to use your provided content for such purposes. Instructions to withhold the use of your User-Generated Content for these purposes should be communicated at the time of order or by contacting us directly at legal@mastersonworkshop.com. Limitation of Liability To the fullest extent permitted by law, Masterson Workshop LLC, its directors, employees, partners, agents, suppliers, or affiliates, will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use our Sites; any conduct or content of any third party on the Sites; any content obtained from the Sites; and unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage. Limitation of Liability for User-Generated Content We respect the rights and permissions associated with your User-Generated Content. However, if Masterson Workshop LLC inadvertently uses your content beyond the agreed scope and contrary to these Terms, we commit to addressing the issue promptly. Our liability for such misuse shall be confined to providing direct restitution to affected parties, with a total payout not exceeding $125 for all such claims. Please note, the 'Commitment to Ethical Conduct' section's specified $200 compensation does not apply to issues related to User-Generated Content. This specific limitation aims to address and rectify misuse of content in accordance with the rights you grant us. Force Majeure Neither party shall be liable for any failure to perform its obligations under these Terms if the failure results from a Force Majeure event. For the purposes of this agreement, 'Force Majeure' refers to any event beyond the reasonable control of either party, including but not limited to natural disasters (such as floods, earthquakes, and hurricanes), war, terrorism, industrial disputes, public health emergencies (including pandemics and epidemics), government actions or decrees, global supply chain disruptions, and acts of God. Upon the occurrence of a Force Majeure event, the affected party shall promptly notify the other party, detailing the nature of the event and any anticipated delay in performance. The affected party shall use diligent efforts to resume performance as soon as reasonably possible. However, if the Force Majeure event persists for more than 30 days, either party may terminate the affected services without penalty. Commitment to Ethical Conduct At Masterson Workshop LLC, we commit to maintaining the highest standards of integrity and ethical conduct in all our business operations. We strive for fairness, honesty, and transparency with our customers, partners, and the community at large. We pledge to avoid actions that can be considered harmful or 'evil' and to make decisions that aim to positively impact society and the environment. In the event that we fail to uphold these ethical standards and, as a result, wrong an individual or group, we will take appropriate steps to make restitution for our actions. This includes rectifying the situation to the best of our ability and providing compensation for any harm caused. In acknowledgment of our commitment and responsibility, we will offer additional compensation of $200 on top of any restitution, except in cases where the amount of compensation has already been specified, as a gesture of our commitment to do better and uphold our ethical values. In addition to the steps outlined above, if Masterson Workshop LLC is found to have engaged in grossly unethical conduct, we pledge to donate 75% of our net profit from the next fiscal year to a charity or charities dedicated to addressing the harm caused by such conduct. This commitment underscores our dedication to accountability and making amends for significant ethical breaches. We will thoughtfully select these charities to ensure they are directly contributing to positive change in areas impacted by our actions. Importantly, this donation will not include charities where company owners or their families have a controlling interest, to prevent any conflicts of interest and ensure the integrity of our contribution. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will strive to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Sites after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Sites. Governing Law These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Severability and Termination If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Sites, and supersede and replace any prior agreements we might have between us regarding the Sites. We may terminate or suspend your access to our Sites immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms.
